How do you know if you have a good contract? A good contract is a contract that clearly spells out the agreement of the parties. It should discuss the WHO [parties to the contract], the WHAT [object of the contract], the WHY [purpose of the contract], and the HOW [implementing mechanisms of the contract] of the contract. Aside from specifying the rights, duties, and obligations of the parties to the contract, a good contract should also anticipate and spell out all possible scenarios of breach by both parties and should include provisions that will either prevent or discourage the breach, remedy the breach, or make the innocent party to the breach whole again.
